PRECISION STRIPING & SEAL COATING

By signing below, I am giving approval for our Bank to release information pertaining to our account. The information gathered is strictly confidential and will be used solely for the purposes of completing our Credit Application with Sherri Womack Enterprises, Inc. DBA Precision Striping & Seal Coating.

Sherri Womack Enterprises, Inc. DBA Precision Striping & Seal Coating and persons signing below, whether on behalf of the party seeking credit (“Applicant”) or as a guarantor, also collectively referred to as “I/We”, hereby agree as follows:

1. The information provided by Applicant herein is offered as a request for extension of credit for commercial business purposes only. Applicant authorizes Precision Striping & Seal Coating or its agents to make inquiry into any and all maters set forth in this application, and to obtain oral or writen credit reports from any credit agency for gathering information necessary for the evaluation of Applicant’s credit worthiness and financial responsibility. Applicant further authorizes the Trade References listed herein to release to Precision Striping & Seal Coating or its agents any information necessary for the evaluation of Applicant’s credit worthiness and financial responsibility. Applicant further authorizes the Trade References listed herein to release to Precision Striping & Seal Coating or its agents any information concerning the credit or financial status of Applicant. These authorizations are contnuing in nature, and may be exercised in connection with any update, renewal, or extension of credit under this notice, before or after delivery of an order.
2. If credit is extended, invoices are due within Ten days (10) days following the invoice date unless otherwise agreed in writng by Precision Striping & Seal Coating. Accounts past due may be subject to a credit hold. Invoices unpaid thirty (30) days after billing shall be subject to a monthly FINANCE CHARGE computed at a PERIODIC RATE of One and One-half percent (1 ½%) per month (18% APR) computed on the unpaid portion of the balance of the previous month less payments and credits within the billing cycle. Applicant agrees to pay ALL FINANCE CHARGES accessed against the account because of late payment. If the interest set fourth in this Agreement shall for any reason be held to exceed the maximum amount allowed by law, such provision shall be construed by the appropriate judicial body by limiting and reducing it so as to be enforceable at the maximum amount allowed by law. Applicant agrees to pay all collection costs incurred by Precision Striping & Seal Coating in enforcement of the terms and conditions of this Agreement, including court costs, reasonable Atorney’s fees, and collection agency fees. The aforementioned interest rate also applies after judgment. Failure by Precision Striping & Seal Coating to levy a late charge shall not be construed as a waiver unless specifically agreed in writing.
3. In addition to other remedies available at law or in equity, I/we agree that Precision Striping & Seal Coating may declare this account in default and demand immediate payment of all sums due on the account if any charge hereunder is not paid in full within Thirty (30) days.
4. I/we agree as evidence by our signature(s) below that any action to enforce this agreement may be brought in Palo Pinto County, Palo Pinto, Texas, unless otherwise required by law. Any dispute arising under this Agreement shall be governed by the laws of the State of Texas and I/we agree to submit to personal jurisdiction in the State of Texas.
5. The terms and conditions of this Agreement, and any additional terms contained in Precision Striping & Seal Coating’s invoices, which terms are incorporated herein as if set out in full, shall apply to and govern all purchases of goods by Applicant and regardless of any terms of any preceding or subsequent purchase order(s) of the Applicant and regardless of any oral promises of any employees of Precision Striping & Seal Coating. In the event of any conflict between the provisions of this Agreement and the terms of any other agreement, sales order, purchase order, oral statement or otherwise, the terms and conditions of this Agreement, as supplemented by Precision Striping & Seal Coating’s invoices shall control.
6. All materials when delivered shall become the sole responsibility of the Applicant thereafter and all risks of loss shall be the Applicant’s. Precision Striping & Seal Coating shall not be liable and shall have no responsibility in connection with goods or materials placed in or upon Applicant’s property or at the direction of the Applicant upon the property of any third party. Purchased and/or deliveries are herewith authorized to be made without signature. Applicant agrees that its sole discretion, deliver the materials and the driver’s signature shall be conclusive evidence of delivery of said materials. It is agreed that all invoices whether signed or not, shall be deemed true and accurate unless alleged discrepancies are reported in writing to Precision Striping & Seal Coating within five days of invoice date.
7. Each delivery and invoice directly attributed to a specific project is not to be deemed a separate contract for purposes of complying with the lien laws of any other states in which materials are supplied pursuant to this contract.
8. This agreement may be modified only in a writing signed by duly authorized representatives of both parties. This agreement may be terminated by the Applicant upon writen notice delivered via certified mail, return receipt requested to Credit Manager at the address for Precision Striping & Seal Coating contained herein and upon payment in full of all outstanding balances due and owing on the account including all special ordered materials.
9. The Applicant agrees to notify Precision Striping & Seal Coating in writing via certified mail, return receipt requested, within seven (7) days upon the change of any information given to Precision Striping & Seal Coating in this Application, including but not limited to changes in name, ownership, corporate status or structure, or other material changes.
10. I /we warrants that the information contained in this credit application is true to the best of my/our knowledge. The Applicant agrees that a copy of the signed original of this Agreement transmited by electronic means to Precision Striping & Seal Coating shall be binding and have the same force and effect as the signed original. I/we agree to be bound by this Agreement for any orders of goods and services transmited by electronic means to Precision Striping & Seal Coating.
11. Payments made on account with Charge Cards will incur the following fees: 3.5% fee on all charge cards.
12. The Undersigned hereby agree that I/we have read and fully understand the terms and conditions of this Agreement and am/are duly authorized to execute it on behalf of Applicant.

FCRA NOTICE: The undersigned authorize(s) and instruct(s) Precision Striping & Seal Coating to obtain a consumer credit report on any proprietors, partners, owners, and/or personal guarantors of Applicant for the purposes of evaluating the creditworthiness of the Applicant, in connection with this Application. The undersigned as (an) individual(s) hereby acknowledge(s) consent to the use of such credit report consistent with the Fair Credit Reporting Act. This shall be a continuing authorization authorizing Precision Striping & Seal Coating to utlize a consumer credit report on the undersigned from time to time in connection with the extension or continuation of he business credit represented by this credit application.

To induce Precision Striping & Seal Coating to extend credit and in consideration thereof, each of the undersigned (“Guarantor”) personally, unconditionally, and irrevocably guarantees to Precision Striping & Seal Coating the payment of all the Applicant’s present and future obligations to Precision Striping & Seal Coating. Precision Striping & Seal Coating waives any right to notice of the obligation incurred by Applicant, and waives any right to require Precision Striping & Seal Coating to pursue the Applicant or any collateral. This is a guarantee of payment, not collection. I/we waive notice of acceptance, presentment, demand, protest, and dishonor. No extension of time or other indulgence granted by Precision Striping & Seal Coating will release or affect my/our obligations hereunder. I/we personally, unconditionally, and irrevocably agree to pay on demand all sums due, or that become due, including reasonable atorney’s fees, interest, costs, or expenses which may be incurred by Precision Striping & Seal Coating by reason of default. Invoices are due Net ten (10) days following the invoice unless otherwise agreed by Precision Striping & Seal Coating in writing. Invoices unpaid thirty (30) days after billing shall be subject to a monthly FINANCE CHARGE computed at a PERIODIC RATE of one and one-half (1 1/2 %) per month (18% APR) computed on the unpaid portion of the balance of the previous month less payments or credit within the billing cycle. If this amount exceeds the maximum rate allowed by law, then Guarantor agrees to pay the maximum rate allowed by law. This Guaranty may only be revoked by writen notice to Precision Striping & Seal Coating served via certified or registered mail, and any such revocation shall become effective 30-days after receipt of said writen revocation. Any revocation does not revoke the obligation or the Guarantor(s) to provide prompt payment for the indebtedness incurred prior to the effective date of the revocation, including the principal amount, interest at the contract rate of 11/2% per month (18% A.P.R.), costs, and reasonable atorney’s fees. In conformity with the forementioned rate also applies after judgement. Guarantor agrees to notify Precision Striping & Seal Coating in writing via certified mail, return receipt requested, within seven (7) days of any change in material information given to Precision Striping & Seal Coating in this guaranty. This guaranty is a joint and serval obligation on the part of the undersigned and shall bind their respective heirs, administrators, personal representatives, successors and assigns. Precision Striping & Seal Coating may release or setle with anyone or more of the Guarantors at any time without affecting the continuing liability of the remaining Guarantors. Each Guarantor agrees that this guaranty is provided not in payment of, but as additional security for and/or evidence of an obligation due to Precision Striping & Seal Coating mechanic’s lien, payment bond, or other legal rights.
